1. Introduction and Acceptance

Welcome to Continuance. By accessing or using Continuance through our web dashboard at continuance.run or our command-line interface (CLI), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the service.

2. Definitions

  • Space: A persistent computing environment that preserves your work (files, configurations, installed packages) across sessions. Spaces are the core unit you interact with in Continuance.
  • Profile: The experience level assigned to a Space, which determines scheduling priority, session limits, and capability. Profiles include Standard, Accelerated, and Intensive.
  • Dashboard: The web interface at continuance.run where you manage your account, Spaces, billing, and settings.
  • CLI: The Continuance command-line interface used to authenticate, enter Spaces, and interact with your environments.
  • Enter / Leave: The actions of connecting to and disconnecting from a Space. When you leave, your Space's state is preserved.
  • Awake / Resting: A Space that is actively running (Awake) or suspended with state preserved (Resting).

3. Account Registration

  1. Account creation: To use Continuance, you must create an account with a valid email address. You must provide accurate and complete information.
  2. Account security: You are responsible for safeguarding your account credentials, including web session tokens and CLI authentication tokens. You are responsible for all activity that occurs under your account.
  3. Notification: You agree to notify us promptly at support@continuance.run if you suspect unauthorized access to your account.

4. Use of the Service

Continuance provides persistent computing Spaces that you access via the CLI and manage via the Dashboard. You agree to use the service in compliance with all applicable laws.

Acceptable Use

You agree not to:

  • Access or attempt to access another user's Space, data, or account without authorization.
  • Use Continuance for any unlawful purpose, including but not limited to distributing malware, conducting attacks on third-party systems, or hosting illegal content.
  • Use Continuance resources for cryptocurrency mining without prior written permission.
  • Attempt to circumvent security measures, rate limits, quotas, or fair-use policies.
  • Interfere with or degrade the performance, availability, or security of the service for other users.
  • Resell, sublicense, or redistribute access to Continuance without our written consent.

We may impose rate limits, resource quotas, and fair-use policies to ensure equitable access. These limits may vary by Profile and may be adjusted at our discretion.

5. Your Content and Data

  • Ownership: You retain full ownership of all data, files, models, and outputs you create within your Spaces. Continuance does not claim any intellectual property rights over your content.
  • No proactive inspection: We do not proactively monitor, review, or access the contents of your Spaces. However, we may access Space metadata and system logs when necessary to investigate abuse, respond to support requests, or comply with legal obligations.
  • Responsibility: You are solely responsible for the content you store in your Spaces and for ensuring it complies with applicable laws.

6. Intellectual Property

All software, documentation, and infrastructure that comprise the Continuance service are the property of Continuance and are protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

7. Billing and Payments

  • Pricing: Continuance may offer paid plans, usage-based billing, or prepaid balances. Current pricing is displayed on the Dashboard. Prices may change with reasonable advance notice.
  • Payment processing: Payments are processed by Stripe. We accept major credit and debit cards, Apple Pay, Google Pay, and other methods supported by Stripe. We do not store full payment card numbers.
  • Charges: You agree to pay all fees associated with your use of Continuance, including charges for active Spaces, storage, and any applicable add-ons.
  • Refunds: If you believe a charge is incorrect or you have unused prepaid balance, contact support@continuance.run. We will review refund requests on a case-by-case basis in accordance with applicable law. We do not guarantee refunds for partially used services, but we aim to resolve billing disputes fairly.
  • Failed payments: If a payment fails, we may suspend your active Spaces until the payment issue is resolved. We will attempt to notify you before taking action.

8. Service Availability

Continuance is provided on an "as is" and "as available" basis. We strive to maintain reliable service, but we do not guarantee uninterrupted or error-free operation. Specifically:

  • Scheduled maintenance may cause temporary unavailability. We will attempt to provide advance notice for planned maintenance.
  • Unscheduled outages may occur due to infrastructure issues, upstream provider failures, or other factors beyond our control.
  • We do not offer a formal Service Level Agreement (SLA) at this time. As the service matures, we may introduce availability commitments.

9. Termination

By you

You may stop using Continuance and request account deletion at any time by contacting support@continuance.run.

By us

We may suspend or terminate your access if:

  • You violate these Terms or our Acceptable Use policy.
  • Your account is used for fraudulent or abusive activity.
  • Required by law.

We will make reasonable efforts to notify you before or promptly after termination, except where prohibited by law or where immediate action is necessary to protect the service or other users.

Effect of termination

Upon termination:

  • Active Spaces will be stopped. If your Spaces have preserved state, we will retain that state for a reasonable period (at least 14 days) to allow you to export your data, unless termination is due to abuse or legal requirement.
  • After the retention period, Space data will be permanently deleted.
  • Financial records will be retained as required by law.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTINUANCE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will meet your specific requirements, that it will be uninterrupted or error-free, or that any defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTINUANCE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Continuance in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Continuance, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the service, your content, or your violation of these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which the operating entity of Continuance is established, without regard to conflict of law provisions.

Any disputes arising from these Terms or the service will be resolved through good-faith negotiation first. If negotiation fails, disputes will be submitted to the courts of competent jurisdiction in the applicable location.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting the revised Terms on this page and updating the "Last updated" date above. Your continued use of Continuance after changes are posted constitutes acceptance of the revised Terms.

If you disagree with material changes, you should stop using the service and contact us to close your account.

15. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.
